AGREEMENT TO TERMS

These Terms and Conditions (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and Rexx E-Bikes, Inc. (“Rexx E-Bikes,” “Rexx,” “we,” “us,” or “our”), governing your access to and use of the https://rexx-ebikes.com/ website, any related online platform, customer support services, product information, purchase process, and any related digital or physical services offered by Rexx E-Bikes, collectively, the “Services”.

By accessing or using our Services, purchasing our products, or engaging with Rexx E-Bikes in any way, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services, purchase our products, or operate any Rexx E-Bike.

These Terms apply to all visitors, customers, purchasers, riders, and users of our Services and products.

We reserve the right, in our sole discretion, to update, revise, or modify these Terms at any time. Any changes will be indicated by the “Last Updated” date above. Your continued access to or use of our Services or products after any changes constitutes your acceptance of the revised Terms.

IMPORTANT USE RESTRICTIONS

ALL REXX E-BIKES ARE DESIGNED AND INTENDED STRICTLY FOR OFF-ROAD USE ONLY.

Rexx E-Bikes are not designed, certified, approved, registered, or represented for use on public roads, highways, sidewalks, bike lanes, or any other area where motorized off-road vehicles are restricted or prohibited.

Even if photographs, videos, advertisements, social media content, demonstrations, or marketing materials show Rexx products being ridden on public roads or in public areas, such content does not mean that such use is legal, permitted, recommended, or authorized.

It is your sole responsibility to understand and comply with all applicable local, state, and federal laws, regulations, ordinances, and requirements regarding vehicle classification, registration, licensing, insurance, age restrictions, helmet requirements, equipment requirements, and permitted areas of operation.

Operating a Rexx E-Bike on public roads, sidewalks, bike paths, trails, parks, or any other location where motorized off-road vehicles are prohibited is strictly forbidden unless you have explicit legal authorization to do so.

THIRD-PARTY APPLICATIONS, EZI APP, AND CONNECTED FEATURES

Certain Rexx E-Bikes may be advertised, delivered, or used with access to third-party applications, software, digital tools, connected features, or mobile platforms, including but not limited to the EZI App.

You acknowledge and agree that the EZI App is not developed, owned, operated, controlled, maintained, or guaranteed by Rexx E-Bikes, Inc. The EZI App is a third-party application and may be subject to separate terms, privacy policies, technical requirements, service limitations, updates, fees, data practices, and availability controlled by its third-party provider.

Rexx E-Bikes does not guarantee that the EZI App, or any third-party application, will be compatible with your specific bike, model, configuration, device, operating system, wireless network, carrier, region, or location.

Some app-based or connected features may be unavailable, delayed, inaccurate, limited, or incompatible with your bike. These may include, without limitation:

  • GPS features;
  • location-based services;
  • navigation;
  • maps;
  • route tracking;
  • ride history;
  • anti-theft or location tracking features;
  • Bluetooth connectivity;
  • cellular connectivity;
  • remote diagnostics;
  • battery or performance data;
  • alerts or notifications;
  • software or firmware-related features; and
  • any other app-based functions or connected services.

You understand that the availability or performance of any EZI App feature may depend on factors outside of Rexx E-Bikes’ control, including your phone, operating system, app version, signal strength, network coverage, GPS availability, third-party servers, third-party updates, regional restrictions, and compatibility between the app and your specific bike.

Rexx E-Bikes is not responsible for any loss, damage, injury, inconvenience, data issue, navigation error, location inaccuracy, service interruption, compatibility issue, or failure arising from or related to the EZI App or any third-party software, app, or connected feature.

You should not rely on the EZI App, GPS, navigation, tracking, or any connected feature as your sole method of navigation, safety monitoring, theft prevention, emergency assistance, or legal compliance. You remain solely responsible for safe operation, route selection, compliance with all applicable laws, and protecting your bike from theft, loss, damage, or unauthorized use.

The unavailability, incompatibility, interruption, limitation, or failure of the EZI App or any third-party app-based feature does not constitute a product defect and does not entitle you to a refund, replacement, warranty claim, or other compensation unless expressly required by applicable law.

PROHIBITED ACTIONS WITH REXX E-BIKES

By purchasing, possessing, or operating a Rexx E-Bike, you agree that you will not:

  • Modify, alter, or upgrade the bike’s motor, controller, battery, firmware, wiring, frame, brakes, suspension, speed settings, or safety systems in any way;
  • Remove, bypass, disable, or tamper with any speed limiters, warning labels, safety features, factory settings, or protective systems;
  • Use the bike for wheelies, stunt riding, trick jumps, racing, competitions, reckless riding, or unsafe maneuvers;
  • Operate the bike without appropriate safety gear, including but not limited to a DOT-approved helmet, gloves, eye protection, durable footwear, and protective clothing;
  • Ride in a reckless, aggressive, impaired, distracted, or unsafe manner;
  • Endanger yourself, other people, animals, vehicles, or property;
  • Allow untrained, unauthorized, impaired, or underage riders to operate the bike;
  • Carry more than one rider at any time, unless the specific model is expressly designed and rated by Rexx E-Bikes for passenger use;
  • Transport cargo beyond the manufacturer’s stated capacity;
  • Use the bike on public roads, sidewalks, bike lanes, or restricted areas unless such use is expressly permitted by applicable law;
  • Use the bike for illegal activity; or
  • Operate the bike in violation of these Terms, applicable laws, or posted rules.

Violation of these restrictions may void all warranties, limit or terminate customer support, and result in denial of service, repair, replacement, refund, or other assistance to the fullest extent permitted by law.

REGISTRATION AND ACCOUNT SECURITY

Certain features of our Services may require you to create an account. You agree to:

  • Provide accurate, current, and complete information;

  • Maintain and promptly update your account information;

  • Keep your login credentials secure and confidential;

  • Accept responsibility for all activity under your account; and

  • Notify us immediately of any unauthorized use of your account.

We reserve the right to suspend, restrict, or delete your account if we believe your information is inaccurate, incomplete, fraudulent, outdated, or if you violate these Terms.

USER REPRESENTATIONS

By using our Services or purchasing, possessing, or operating a Rexx E-Bike, you represent and warrant that:

  • You are at least 18 years old;
  • You have the legal capacity to enter into these Terms;
  • You will operate the bike only in accordance with applicable laws and these Terms;
  • You understand that Rexx E-Bikes are high-performance off-road electric vehicles;
  • You understand and accept the risks associated with operating a high-powered electric vehicle;
  • You will not use the bike for illegal, unsafe, reckless, or prohibited purposes;
  • You will inspect and maintain the bike before use;
  • You will not modify or tamper with the bike; and
  • You will not permit any person to operate the bike unless that person understands and agrees to follow these Terms and all applicable safety requirements.

SAFETY AND RESPONSIBILITY

YOU ASSUME ALL RISKS ASSOCIATED WITH THE USE, OPERATION, STORAGE, TRANSPORTATION, AND MAINTENANCE OF A REXX E-BIKE.

You understand that operating a high-powered electric bike involves serious risks, including the risk of collision, loss of control, equipment failure, falls, property damage, serious injury, or death.

You are solely responsible for ensuring that your bike is in safe operating condition before every ride. Before operating the bike, you agree to inspect, at minimum:

  • Brakes;

  • Tires;

  • Throttle;

  • Battery;

  • Frame;

  • Suspension;

  • Lights;

  • Controls;

  • Chain or drivetrain;

  • Fasteners;

  • Wiring; and

  • Any visible signs of damage or wear.

Do not operate the bike if it appears damaged, unsafe, improperly assembled, improperly maintained, or not functioning correctly.

You are responsible for using reasonable judgment, riding within your ability, wearing appropriate protective equipment, avoiding unsafe terrain, obeying applicable laws, and maintaining control of the bike at all times.

PROHIBITED SITE ACTIVITIES

When using our website or online Services, you agree not to:

  • Use the Services for any unlawful purpose;

  • Collect user data without authorization;

  • Use automated tools, bots, scrapers, crawlers, or similar technologies without our written permission;

  • Interfere with the security, operation, or performance of the Services;

  • Attempt to gain unauthorized access to our systems, accounts, networks, or data;

  • Post, submit, or transmit false, misleading, defamatory, abusive, or unlawful content;

  • Impersonate any person or entity;

  • Circumvent or disable any security feature;

  • Use the Services to send spam, unsolicited marketing, or harmful code; or

  • Violate any applicable law or regulation.

INTELLECTUAL PROPERTY

All content, designs, logos, trademarks, service marks, graphics, photographs, videos, product descriptions, text, software, website materials, and other intellectual property displayed on or through our Services are owned by Rexx E-Bikes, Inc. or its licensors.

You may not copy, reproduce, modify, distribute, display, sell, license, publish, create derivative works from, or otherwise exploit any Rexx E-Bikes content without our prior written permission.

All rights not expressly granted are reserved.

PRODUCT INFORMATION AND AVAILABILITY

We make reasonable efforts to display accurate product descriptions, specifications, pricing, availability, photographs, and other information. However, we do not guarantee that all information is complete, current, accurate, or error-free.

Product specifications, appearance, components, app compatibility, performance, range, speed, and features may vary depending on model, configuration, rider weight, terrain, temperature, battery condition, maintenance, use, firmware, and other conditions.

We reserve the right to correct errors, update product information, change pricing, modify product features, discontinue products, refuse orders, or cancel orders at any time, subject to applicable law.

DISCLAIMERS

To the fullest extent permitted by law, Rexx E-Bikes and its products, Services, website, materials, support, and related information are provided on an “AS IS” and “AS AVAILABLE” basis.

Rexx E-Bikes makes no guarantee that:

  • Any bike is legal for street, road, sidewalk, or public-area use;

  • Any bike will meet the legal classification requirements of your jurisdiction;

  • Any product will be suitable for your intended use;

  • Any performance specification will be achieved under all conditions;

  • Any third-party app, including the EZI App, will function properly or be compatible with your bike;

  • Any GPS, navigation, location, tracking, or app-based feature will be accurate, available, or reliable;

  • The Services will be uninterrupted, secure, or error-free; or

  • Any defect, issue, or incompatibility will be corrected.

Rexx E-Bikes is not responsible for injuries, damages, losses, legal consequences, fines, penalties, citations, property damage, theft, data loss, app failures, navigation errors, compatibility issues, or other claims arising from or related to misuse, illegal use, unsafe operation, unauthorized modifications, failure to maintain the bike, or reliance on third-party applications or connected features.

LIMITATION OF LIABILITY

To the fullest extent permitted by law, Rexx E-Bikes, Inc., its owners, officers, directors, employees, contractors, agents, affiliates, suppliers, and service providers shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to injury, death, property damage, loss of income, loss of use, legal penalties, fines, citations, data loss, app-related failures, navigation errors, theft, or other damages arising from or related to:

  • Your use or misuse of a Rexx E-Bike;

  • Your operation of the bike in any prohibited or illegal area;

  • Your violation of these Terms;

  • Your violation of any applicable law;

  • Unauthorized modifications or repairs;

  • Failure to inspect, maintain, or safely operate the bike;

  • Reliance on app-based, GPS, navigation, tracking, or connected features;

  • Third-party applications, including the EZI App; or

  • Any event outside Rexx E-Bikes’ reasonable control.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you. In such jurisdictions, Rexx E-Bikes’ liability shall be limited to the greatest extent permitted by law.

INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Rexx E-Bikes, Inc., its owners, officers, directors, employees, contractors, agents, affiliates, suppliers, and service providers from and against any claims, damages, demands, losses, liabilities, costs, expenses, legal actions, fines, penalties, and attorney’s fees arising from or related to:

  • Your use, misuse, storage, transportation, or operation of a Rexx E-Bike;

  • Your violation of these Terms;

  • Your violation of any law, regulation, ordinance, or third-party right;

  • Any unsafe, reckless, illegal, or prohibited use of the bike;

  • Any modification, alteration, tampering, or unauthorized repair;

  • Any injury, death, property damage, citation, fine, or legal consequence involving the bike;

  • Your use of or reliance on the EZI App or any third-party application; or

  • Your failure to properly inspect, maintain, secure, or operate the bike.

PROMOTIONS AND DISCOUNTS

All promotional offers, discount codes, sale prices, bundles, limited-time offers, and special pricing are valid only during the specified promotional period and only while supplies last.

Promotional offers cannot be applied retroactively to previous purchases. Discount codes cannot be combined, stacked, transferred, exchanged for cash, or used with other promotions unless expressly stated by Rexx E-Bikes in writing.

Orders placed before or after a promotion are not eligible for price adjustments, partial refunds, credits, or compensation related to that promotion.

We reserve the right to modify, suspend, cancel, or refuse any promotion, discount, or offer at any time, including where we suspect fraud, misuse, technical error, or abuse.

WARRANTY LIMITATIONS

Any warranty provided by Rexx E-Bikes is subject to separate warranty terms, limitations, exclusions, and procedures.

Unless expressly stated in a written warranty issued by Rexx E-Bikes, warranties do not cover:

  • Unauthorized modifications;

  • Damage caused by misuse, neglect, racing, stunts, wheelies, crashes, water exposure, improper storage, improper maintenance, or illegal use;

  • Normal wear and tear;

  • Damage caused by third-party parts or accessories;

  • Software, apps, or connected features not developed or controlled by Rexx E-Bikes;

  • The EZI App or any third-party application;

  • Compatibility issues with phones, operating systems, wireless networks, GPS, Bluetooth, or third-party services;

  • Loss, theft, or recovery of the bike; or

  • Any use that violates these Terms.

Violation of these Terms may void any applicable warranty to the fullest extent permitted by law.

GOVERNING LAW

These Terms shall be governed by and construed in accordance with the laws of international trade, without regard to its conflict of law principles.

You agree that any dispute arising out of or relating to these Terms, our Services, or any Rexx E-Bike shall be resolved in the courts located in the country Rexx Ebikes appoints, unless otherwise required by applicable law.

BY PURCHASING, YOU ACKNOWLEDGE

By purchasing, accepting delivery of, possessing, or operating any Rexx E-Bike or related product, you expressly acknowledge and agree that:

  • You have read, understood, and accepted these Terms in full;

  • Rexx E-Bikes are designed and intended strictly for off-road use only;

  • Rexx E-Bikes are not designed, certified, approved, or represented for public road use;

  • Public road, sidewalk, bike lane, or restricted-area use may be illegal in your jurisdiction;

  • You are solely responsible for knowing and complying with all laws regarding where and how the bike may be operated;

  • Photos, videos, marketing materials, or demonstrations showing public-area use do not mean such use is legal, permitted, recommended, or authorized;

  • You will not modify, alter, tamper with, or upgrade the bike in any way that affects safety, performance, speed, classification, or legal compliance;

  • You will not engage in stunt riding, wheelies, racing, jumps, reckless riding, or unsafe operation;

  • You will not carry more than one rider unless the specific model is expressly designed and rated for passenger use;

  • You accept full responsibility for safe operation, proper maintenance, lawful use, and secure storage of the bike;

  • You understand that the EZI App is a third-party application not developed, owned, operated, maintained, or guaranteed by Rexx E-Bikes;

  • You understand that some EZI App features or other app-based features may not be compatible with your bike, including GPS, navigation, location-based services, tracking, maps, Bluetooth, cellular, diagnostics, and related connected features;

  • You will not rely on any app, GPS, navigation, or connected feature as your sole means of safety, navigation, theft prevention, or legal compliance;

  • You release Rexx E-Bikes, Inc. from liability for injury, death, property damage, legal penalties, app failures, navigation errors, compatibility issues, or other losses resulting from your use or misuse of the product; and

  • You understand that violating these Terms may void warranties and may result in denial or termination of customer support services.
